processes will not die

Under 2.3.4[12], after the system has been up a while (a day or so) I
begin to accumulate large numbers of unkillable processes and the
system will not shutdown. I also note that at this point /proc/loadavg
goes to all zeroes and stays there. Is anyone else seeing this?
