Running out of processes?!

Okay, this is probably more for linux-admin, but I'm wondering if it's a
kernel issue...

I shut down my machine with halt, everything dies, etc, etc...

When it takes the ethernet card down, I'll get two lines:

No more processes available
No more processes available

And things will continue on as normal. So I *KNOW* it's safe to ignore
this (it hasn't caused a problem yet), I'm just wondering how it's running
out of processes. When I shut down, I'm either rather far from looping
pid's, or PAST looping pid's. This isn't new, it's been there since
2.0.33. Ethernet card is an Intel EtherExpress Pro/10 ISA+, slightly
modified driver. (Added 0x310 probe. 0x300 is used on this box.) Any
ideas? This ONLY happens at shutdown, so it's kinda hard to debug. ;(
