fork: Out of memory

I have a P-133 with 32Mb ram an 32Mb swap. Slackware 3.0 with kernel
2.0.4.
This machine is used as a modem server with a cyclades Yep 16.
After some time of operatios (approx 20 hours), it starts to write the message:
inetd[xx] : fork: Out of memory
in the syslog and cannot execute any commands as it reports the same problem.
So, I put an entry in cron to issue a ps -axm and a free to a file.
Looking at the file at the time the thing happened, I see there WAS enough
memory!
What could be happening?
